Standard Business Conditions of Panta Rhei Design


1. General - Scope

1.1 The following terms and conditions apply to all contracts that are concluded in or outside of the Panta Rhei Design shop/showroom and their customers.

1.2 Conditions of customers will not be accepted unless Panta Rhei Design has agreed to their validity in writing. These terms and conditions apply even if Panta Rhei Design accepts the offer without reservation in knowledge conflicting terms and conditions of customer to conclude a contract.

1.3. Customer under these Conditions are entrepreneurs and consumers.


2. Conclusion of the contract - Product - Delivery time

2.1 By ordering the goods, the customer declares a binding contractual offer.

2.2 Panta Rhei Design manufactures each piece (unique) individually by hand, so that deviations from the possible patterns can arise. Technical and other discrepancies regarding remain reserved within reason on the website www.pantarhei-design.de or in brochures and advertising materials depicted goods in shape, color or weight. Precise information on the use and technology of the products can be taken from the website of Panta Rhei Design.

2.3 The delivery times are dependent upon product and will be agreed individually. For customizations and bulk orders the delivery time can sometimes take significantly longer and will be discussed between the parties.


3. Transfer of risk

3.1 For consumers, the risk of accidental loss and accidental deterioration of the goods sold, will also be on sale to the delivery of the goods to the consumer. 4. Retention of title

5. Purchase price - Payment

5.1 If Panta Rhei Design shipps the design goods to the customer, this contributes to the stated price plus the Shipping costs.

5.2 Panta Rhei Design can, in individual cases by the regulations set out in Section 5.1 in favor of the Customers differ.

5.3 For customized piece a 50% prepayment of the agreed purchase price has to be payed before production or service.

5.4 The customer pays for the goods in Cash or in advance (bank transfer). Excluded are entrepreneurs who obtain from Panta Rhei Design a payment period. A payment by check is not possible. Bank charges for international transfers will be payed by the customer.

5.5 The statutory default interest rate is 5% above the ECB base rate (currently 0.25%). Compared to the customers Panta Rhei Design reserves the right to claim higher than the statutory default interest damages.

5.6 The given purchase prices are gross prices. According to article §19 UStG paragraph 1, I raise no sales tax and don´t expel this also consequently.


6. Warranty

6.1 For entrepreneurs Panta Rhei Design compensates for defects in the goods at its option by repair or replacement.

6.2 Should a first supplementary performance fail, Panta Rhei Design compensates for defects of the goods to the entrepreneur again at its option by repair or replacement. After the Failure of the second subsequent performance of the contractor, at his discretion the right to reduction or cancellation of the contract.

6.3 A withdrawal from the contract is the sale of a majority of things only in terms of defective part amicably possible.

6.4 Consumers have to notify Panta Rhei Design about visible deficiencies within four weeks after receipt in writing. Otherwise, the assertion of the warranty claim is excluded.

6.5 Entrepreneurs need to examine the goods immediately after delivery for quality and variations in quantity and Panta Rhei Design recognizable defects within a period of 7 working days from receipt of goods in writing about. Otherwise, the assertion of warranty claims excluded. Hidden defects must be notified to Panta Rhei Design within a period of four weeks after their discovery in writing. Sufficient to meet the deadlinet the timely dispatch . The company bears the full burden of proving all claims, in particular for the defect itself, for its presence in time of transfer of risk, for the time of discovery of the defect and the timeliness of the complaint.

6.6 For entrepreneurs, the warranty period is one year from date of delivery.


7. Withdrawal

7.1 Panta Rhei Design carefully points out, that in addition to the warranty claims above, may not be returned by the buyer.


8. Limitations of Liability

8.1 Panta Rhei Design is liable for contractual and non-contractual claims for damages of the customer only in the case of own intent and its own gross negligence.

8.2 The above limitations of liability shall not apply to damages arising from injury to life, body or health or in case of mandatory statutory provisions, such as e.g. the Product Liability Act.


9. Final provisions

9.1 The law of the Federal Republic of Germany is valid. For consumers, who do not have a contractfor complete professional or commercial purposes, this choice of law applies only insofar as not the protection granted by mandatory provisions of the laws of the State in which the Consumer has his habitual residence, is withdrawn. The provisions of the UN Sales Convention do not apply.

9.2 If the customer is a merchant, legal entity under public law or public law special fund, the place of jurisdiction for all disputes arising from this contract is the office of Panta Rhei Design. The same applies, if the customer has no general jurisdiction in Germany or whose domicile or habitual residence at the time the complaint are unknown.

9.3 Should individual provisions of the contract with the customer, including these general its terms and conditions in whole or in part, be or become invalid, this shall the validity of the remaining provisions shall not be affected.
